Terms of Service

These Terms of Service ("Terms") govern your use of Fixed Bid Solutions ("the App", "the Service", "we", "us"), an AI-powered project estimator operated by Plexsoft Apps. By creating an account, starting a trial, or subscribing, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

The Service is intended for professional use by software developers and development businesses. You must be at least 18 years old and, if registering on behalf of a company, have the authority to bind that company to these Terms.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.

Fixed Bid Solutions helps you turn raw client requests into fixed-bid project estimates using AI, manage those estimates and proposals, track outcomes, and (on the Accelerator plan) generate step-by-step build instructions.

The Service is a tool that supports your professional judgment — it does not replace it. You decide what prices to quote, what proposals to send, and what work to accept.

Plans — The Service is offered as monthly subscriptions (currently Pro at $79/month and Accelerator at $199/month). Prices may change; we will give at least 30 days' notice of price changes, effective at your next billing cycle.

Free trial — New accounts receive one 14-day free trial per company, with no credit card required to start. The trial includes up to three (3) AI generations run on our API key at no cost to you; beyond that allowance (or at any time), you may add your own Anthropic API key for unlimited use (Section 4). If the trial ends without a subscription, access to the App is paused until you subscribe — your data is preserved. The free trial is available once per company; subsequent checkouts begin billing immediately.

Billing — Payments are processed by Stripe. Subscriptions renew automatically each month until canceled. You can cancel anytime from Settings → Plan & Billing; cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable and partial months are not prorated.

Nonpayment — If a renewal payment fails, we may suspend access until payment is resolved. Your data is retained during suspension.

Other than the limited trial allowance described in Section 3, AI features run on your own Anthropic (Claude) API key, which you create at console.anthropic.com and add in Settings. You are responsible for:

• All usage charges billed to you by Anthropic for AI requests made through your account
• Keeping your key valid and funded — AI features will not work without it
• Complying with Anthropic's own terms of service and usage policies

Your key is encrypted (AES-256) before storage and is used only to process requests you initiate from your account. Subscription fees for the Service are separate from, and do not include, Anthropic's API usage charges.

Estimates, scope lists, risk assessments, proposals, and build segments are generated by artificial intelligence and may be inaccurate, incomplete, or unsuitable for your specific situation.

• AI output is informational, not professional advice — review everything before relying on it.
• You are solely responsible for the prices you quote, the proposals you send, the contracts you enter, and the work you deliver to your clients.
• We are not a party to any agreement between you and your clients and accept no responsibility for project outcomes, underbids, overruns, or disputes.

Build Segments produce a fast, tailored starting point for development — ordered, step-by-step build instructions matched to your configured stack. They are not a finished, deploy-ready application.

You are responsible for reviewing, testing, securing, and completing any code or instructions produced with Build Segments before delivering work to a client or deploying it to production. References to building "up to 90%" of a project describe potential acceleration, not a guarantee of completeness, correctness, or fitness for any particular purpose.

As between you and us, you own the client requests you submit and the estimates, proposals, and build segments generated for your account. You grant us a limited license to store and process that content solely to operate the Service (including transmitting request content to Anthropic's API to generate output).

We own the Service itself — the software, design, prompts, and branding. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while subscribed; they do not transfer any ownership of the platform to you.

You agree not to:

• Use the Service for any unlawful purpose or to generate unlawful content
• Attempt to access data belonging to other accounts or companies
• Probe, disrupt, overload, or circumvent the Service's security or access controls
• Resell, sublicense, or provide the Service to third parties as your own offering
• Reverse engineer or copy the Service or its prompts for a competing product
• Share one account across multiple companies to avoid subscription fees

We may suspend or terminate accounts that violate these rules.

You may cancel your subscription at any time (Section 3) and may request deletion of your account and data as described in the Privacy Policy.

We may suspend or terminate your access for material breach of these Terms, nonpayment, or unlawful use. Where practical, we will notify you and give you an opportunity to export your data. Sections 5–7 and 10–11 survive termination.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLEXSOFT APPS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE — INCLUDING RELIANCE ON AI-GENERATED ESTIMATES OR BUILD SEGMENTS.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE SUBSCRIPTION FEES YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

We may update these Terms from time to time. When we do, we will update the effective date at the top of this page, and for material changes we will notify active subscribers by email or an in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-law rules. Any disputes will be resolved in the state or federal courts located in Washington, and you consent to their jurisdiction.
